摘要:This paper argues that improvements in corporate governance will not be driven by regulatory changes. Regulation is necessary but good corporate governance is primarily a set of corporate practices that promote efficient and transparent decision making within corporations and that guarantees the long-run survival of the corporation. The paper highlights a number of basic principles that companies should comply in designing their corporate governance practices.
